Practice Technologies, Inc. Launches RealDealDocs™
Service Provides Instant Access to Work Product from Hundreds of Thousands of Transactional Documents and Millions of Deal Clauses Created By Leading Firms, Providing Revolutionary Drafting Research and Competitive Intelligence Capabilities.
Venice, California, March 1, 2007

Practice Technologies, Inc. has announced the release of RealDealDocs™. The website (www.realdealdocs.com) provides instant access to work product from hundreds of thousands of corporate and transactional documents, and millions of deal clauses extracted from real deals, using Practice Technologies’ proprietary RealPractice™ search and retrieval platform. The service is available for as little as $9.95, and for a limited time will be available free of charge on a trial basis.

“Attorneys charged with creating transactional documents frequently find themselves compelled to recreate the wheel again and again,” said Rudolph DeFelice, president and chief executive officer of Practice Technologies, Inc. “In today’s practice environment, this is simply not an efficient way of doing business – especially for those in solo or small firm settings. RealDealDocs provides attorneys with a host of excellent templates to work from – literally hundreds of thousands of documents comprising the work product of the nation’s top attorneys. Whatever a practitioner might be seeking – an employment agreement for a software company in California or an M&A deal drafted by Shearman & Sterling – you’ll likely find it in this repository. And you can search by these very criteria. Now a small town solo practitioner can draw on the transactional libraries of the largest New York firm in a manner that makes sense. She’ll be able to spend less time conducting research, and more time focusing on the nuances of her client’s unique business situation.”

Rules changes are organized chronologically by jurisdiction, and may be accessed free of charge at www.realdealdocs.com.

What’s in the RealDealDocs Repository?
To create RealDealDocs, Practice Technologies has obtained hundreds of thousands of US public company filings—those which are most likely to contain relevant documents for use by transactional attorneys. These include annual and quarterly (10K/10KSB, and 10Q) filings, registration statements, and special events filings. Setting aside insider trading and institutional ownership reporting forms, these filings constitute the significant majority of all filings with the SEC. The exhibits from these filings have then been individually categorized by document types, participating parties, governing law provisions, and other relevant criteria and made searchable using proprietary RealPractice™ technologies. The most relevant exhibits include Exh 1 (Underwriting Agreements), Exh 2 (M&A / reorg), Exh 3 (Organizational docs), Exh 4 (Major lending docs), Exh 10 (Material Contracts), and Exh 99 (Miscellaneous filings – mostly press releases which have not been included due to lack of relevance).

What Makes RealDealDocs Unique?
RealDealDocs lets users dictate exactly the kind of document they’re seeking. Say, for example, you are seeking a few good examples of a patent license agreement. Using pull-down menus, you would simply select "Intellectual property" as the document type and "patent license agreement" as the subtype. The search can be modified further with full text search or by choosing additional search fields. RealDealDocs instantly returns dozens of such documents, prepared by top law firms for leading public companies. Actual document titles, parties involved, law firms and governing law are all listed, so you can quickly judge if the document is useful. Another click, and the document opens on screen. RealDealDocs delivers the section of a filing – the work product – which you really need. You can demo the service free of charge at www.realdealdocs.com.
